Terms of Service

This platform (the "Platform") is operated by R&P Enterprises Limited, a private limited company incorporated in England & Wales ("R&P", "we", "us"). By accessing or using the Platform you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

R&P is the UK and international distribution affiliate of 18 Main. R&P is not authorised or regulated by the Financial Conduct Authority (FCA).

Nothing on the Platform constitutes an offer to sell, or a solicitation of an offer to buy, any security, nor a recommendation or invitation to engage in any investment activity, in any jurisdiction where such an offer, solicitation or recommendation would be unlawful. The general, non-gated content of the Platform is a brand communication only and does not constitute a financial promotion under section 21 of the Financial Services and Markets Act 2000 ("FSMA").

We do not provide investment, legal, tax or accounting advice. Nothing on the Platform should be construed as such. You are solely responsible for evaluating the merits and risks of any investment and should obtain independent professional advice. Any investment is made solely on the basis of the relevant offering documents, which prevail over any information on the Platform.

Access to deal-specific information is restricted to persons who qualify and self-certify as a High Net Worth individual (FSMA (Financial Promotion) Order 2005, Article 48), a Self-Certified or Certified Sophisticated investor (Articles 50 and 50A), an Accredited Investor under Regulation D, Rule 506(c) of the US Securities Act of 1933, or an equivalent category under the applicable rules of your home jurisdiction.

By certifying, you represent and warrant that the statements you make are true and that you meet the relevant criteria. You agree to notify us if you cease to qualify. We may rely on your certification and may decline or withdraw access at our discretion.

Certain areas of the Platform require an account secured by a password you create. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorised use. We may suspend or terminate accounts that breach these Terms or where we reasonably suspect misuse.

Investments described on the Platform — including investments in real estate, private securities and related instruments — are speculative, highly illiquid and involve substantial risk, including the risk of total loss of capital. There is no secondary market. Past performance is not indicative of future results, and forward-looking figures are estimates that are not guaranteed. You should not invest unless you can sustain the complete loss of your investment.

You agree not to misuse the Platform, including by attempting to gain unauthorised access, interfering with its operation, scraping or harvesting data, circumventing access controls or eligibility gates, or using the Platform for any unlawful purpose. You may not reproduce, distribute or create derivative works from Platform content except as expressly permitted.

All content on the Platform — including text, design, graphics, logos and the R&P and 18 Main marks — is owned by or licensed to R&P and its affiliates and is protected by intellectual property laws. Third-party names and logos are the property of their respective owners and are used for identification only.

The Platform may reference or link to third parties, including 18 Main and its partners. We are not responsible for the content, products or practices of third parties, and a link does not imply endorsement.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. To the maximum extent permitted by law, R&P, its affiliates and their respective officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, capital, data or goodwill, arising out of or in connection with your use of the Platform. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence or for fraud.

You agree to indemnify and hold harmless R&P and its affiliates from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Platform, or your violation of any law or the rights of any third party.

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

We may amend these Terms from time to time. Changes take effect when posted to the Platform. Your continued use after changes are posted constitutes acceptance of the revised Terms.

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and you submit to the exclusive jurisdiction of the courts of England and Wales.
